Terms of Use

These Terms of Use govern your access to and use of lawledgers.com (the “Site”), which is operated by Law Ledgers. By using the Site, you agree to these Terms. If you don’t agree, please don’t use the Site.
1. The Site is informational
Law Ledgers is an accounting firm. The Site provides general information about our practice and the issues we work on. Nothing on the Site is legal, financial, tax, or accounting advice for your particular situation, and your use of the Site does not create a client relationship with Law Ledgers, with any of its employees, or with any of its outside professionals.
For accounting engagements, the terms of any engagement are set out in a separate engagement letter. Communications with Law Ledgers are not, by default, protected by attorney-client privilege; however, the privilege may extend to communications made within a Kovel arrangement (an engagement of the firm through counsel for the purpose of providing legal advice, under United States v. Kovel, 296 F.2d 918 (2d Cir. 1961)).
2. Permitted use
You may view, download, and print pages from the Site for your own personal or internal-business use, provided you keep all copyright and other proprietary notices intact. You may not:
- Use the Site for any unlawful purpose, or in any way that interferes with its operation or other users.
- Attempt to gain unauthorized access to any portion of the Site, our servers, or any related systems.
- Scrape, harvest, or collect personal information from the Site by automated means.
- Remove or alter copyright, trademark, or other proprietary notices.
- Use the Site or its contents to develop a competing service, or to train machine-learning models, without our prior written permission.
3. Intellectual property
The text, images, logos, and code on the Site are owned by Law Ledgers or our licensors and are protected by copyright, trademark, and other intellectual-property laws. “Law Ledgers” and the Law Ledgers logo are trademarks of Law Ledgers. We grant you a limited, revocable, non-exclusive license to use the Site as described in these Terms; we don’t grant you any other rights.
4. Third-party content and links
The Site may link to third-party websites and resources. We provide those links for convenience and don’t endorse or take responsibility for the content, privacy practices, or accuracy of those sites.
5. Disclaimers
The Site is provided on an “as is” and “as available” basis. We don’t guarantee that the Site will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Site or its server will be free of viruses or other harmful components. We disclaim, to the fullest extent allowed by law, all warranties (express or implied), including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
Information on the Site may become out of date. We may update or remove pages without notice.
6. Limitation of liability
To the fullest extent permitted by law, Law Ledgers and its principals, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to the Site is limited to one hundred U.S. dollars (US $100).
This limitation does not apply to a separate engagement governed by a written engagement letter, which has its own terms.
7. Indemnification
You agree to indemnify and hold Law Ledgers harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site in violation of these Terms or applicable law.
8. Privacy
Our Privacy Policy explains what we collect through the Site and how we handle it. By using the Site, you agree to the collection and use of information as described there.
9. Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. You and Law Ledgers consent to the exclusive jurisdiction of the state and federal courts located in Kings County, New York, for any dispute arising out of or related to the Site or these Terms.
10. Changes to these Terms
We may update these Terms from time to time. The “Effective” date at the top reflects the most recent change. Your continued use of the Site after we post a change means you accept the updated Terms.
